How Long Does a VARA Licence Take in Dubai? Stages, Fees, Tips

Quick answer: A VARA licence in Dubai usually takes several months, not weeks. VARA publishes no fixed service level, but practitioner guides from 2025 and 2026 put the Approval to Incorporate at roughly one to three months and the full process at roughly three to twelve months. Your preparation, chosen activities and speed in answering VARA’s feedback decide where you land.

Key takeaways

  • You cannot apply to VARA directly. The Initial Disclosure Questionnaire goes through DET (mainland) or a Dubai free zone licensor, and DIFC is outside VARA’s remit.
  • The current process has two stages: Approval to Incorporate (ATI), then the VASP licence. You cannot carry on virtual asset activity on an ATI alone.
  • VARA does not publish an official processing time. Non-official guides cite three to six months or six to twelve months overall.
  • Application fees are AED 40,000 or AED 100,000 per activity, with annual supervision fees of AED 80,000 or AED 200,000, per the published Schedule 2.
  • Paid-up capital ranges from AED 100,000 for Advisory up to AED 1,500,000 for an Exchange that holds client assets itself, or a percentage of fixed annual overheads if higher.
  • Most delays come from weak business plans, missing Responsible Individuals, thin AML frameworks and slow responses to VARA’s questions.

How long does a VARA licence take in Dubai?

The honest answer is that it depends on you as much as on the regulator. The Virtual Assets Regulatory Authority (VARA) sets out the stages on its licence applications page but does not publish a target turnaround time for either stage. Any figure you see quoted is an estimate from advisers or law firms, not a regulatory commitment.

Two widely read practitioner sources give a useful frame. Hadef and Partners (June 2025) describes the initial application as generally taking up to three months and the whole process as generally three to six months, depending on preparedness. Middle East Briefing (January 2026) describes ATI issuance as typically one to two months, a window of about three months after ATI to file the full documentation, a regulatory review of around one month, roughly 30 days per round to answer VARA’s gap list, and an overall span of six to twelve months. Treat these as planning ranges rather than promises.

What drives the timeline

  • Activity mix: Advisory is simpler to evidence than Exchange or Custody, which need deeper technology, custody and market conduct controls.
  • Readiness of your documents: a complete business plan, financial projections and policy suite shorten the back-and-forth.
  • People: VARA expects two Responsible Individuals who are full-time, fit and proper, and UAE residents or nationals. Hiring them late is a classic bottleneck.
  • Feedback rounds: each request for information you answer slowly or partially adds weeks.
  • Licensor coordination: your DET or free zone file runs alongside VARA’s review, so office space, shareholder documents and attestation need to be ready in time.

What are the stages of a VARA licence application?

VARA’s published process for new firms has two stages. Earlier licensees went through a different, phased programme, which is why you still see references to provisional approval and MVP licences online.

Stage one: Initial Disclosure Questionnaire and Approval to Incorporate

You submit the Initial Disclosure Questionnaire (IDQ) to DET for a mainland entity or to your chosen Dubai free zone, together with a business plan and details of beneficial owners and senior management. VARA says the initial fee paid at this point is typically 50% of the licence application fee. If VARA is satisfied, it issues an Approval to Incorporate, which lets you finalise incorporation and set up operations. At this point you are still not permitted to carry on virtual asset activities.

Stage two: VASP licence

Following the guidance VARA issues with the ATI, you file the full application. VARA reviews it directly and may hold meetings and interviews or ask for more documents. You then pay the remaining licence fee and the first year’s supervision fee, and VARA may issue the VASP licence, which can carry operational conditions you must satisfy before or while going live.

Provisional approval, MVP and full market licences

In 2022 and 2023 VARA ran a phased route of provisional approval, then a Minimum Viable Product (MVP) operational licence, then a full market product licence. BitOasis, for example, received provisional approval in March 2022 and an MVP operational licence in May 2023, according to VARA’s own news release. VARA’s current applications page describes the two-stage ATI and VASP licence route instead, with any restrictions applied as licence conditions. If an adviser quotes you an MVP timeline, ask them to show where VARA currently requires it.

Which activities need a VARA licence?

VARA requires a separate licence for each virtual asset activity you carry on. The licensed activities are:

  • Advisory Services
  • Broker-Dealer Services
  • Custody Services
  • Exchange Services
  • Lending and Borrowing Services
  • VA Management and Investment Services
  • VA Transfer and Settlement Services

Category 1 VA Issuance is also a licensed activity, while Category 2 issuance needs VARA approval rather than a licence. Lawyers, accountants and consultants whose virtual asset work is wholly incidental to their professional practice may be exempt, at VARA’s discretion. VARA issued updated activity rulebooks (Version 2.0) on 19 May 2025 with a compliance deadline of 19 June 2025, tightening rules on margin trading, token distribution and collateral wallets, so make sure your policies reflect the current text.

What does a VARA licence cost?

The figures below are taken from Schedule 2 of the Virtual Assets and Related Activities Regulations 2023 and the capital rules in the VARA Company Rulebook as published at the time of writing. VARA may impose additional supervision fees based on your risk profile, and DET or free zone fees are separate.

VARA fees and minimum paid-up capital by activity

Activity Application fee Annual supervision fee Minimum paid-up capital (higher of)
Advisory AED 40,000 AED 80,000 AED 100,000
Broker-Dealer AED 100,000 AED 200,000 AED 400,000 or 15% of fixed annual overheads (using an approved custodian); otherwise AED 600,000 or 25%
Custody AED 100,000 AED 200,000 AED 600,000 or 25%
Exchange AED 100,000 AED 200,000 AED 800,000 or 15% (using an approved custodian); otherwise AED 1,500,000 or 25%
Lending and Borrowing AED 100,000 AED 200,000 AED 500,000 or 25%
Management and Investment AED 100,000 AED 200,000 AED 280,000 or 15% (using an approved custodian); otherwise AED 500,000 or 25%
Transfer and Settlement AED 40,000 AED 80,000 AED 500,000 or 25%

Each additional activity attracts a licence extension fee of 50% of the lower application fee. Beyond paid-up capital, every VASP must keep net liquid assets of at least 1.2 times monthly operating expenses and hold reserve assets equal to 100% of client liabilities. Paid-up capital is held in a UAE bank trust account naming VARA as beneficiary, a surety bond or another method VARA specifies, which makes early corporate banking support worth planning for.

Do you need a DET or free zone licence first?

Yes. Your commercial licence and your VARA authorisation are two separate permissions. The IDQ is filed through the Department of Economy and Tourism for a mainland company or through a Dubai free zone such as the Dubai World Trade Centre Authority, and VARA prefers an LLC or FZ company structure. Sole proprietorships are not accepted. VARA also requires a physical presence in Dubai, and some activities need a private office. The Dubai International Financial Centre sits outside VARA’s jurisdiction, so a DIFC entity follows the DIFC regime instead. If you are weighing jurisdictions, our free zone company formation team can compare Dubai options that work with VARA.

What are the alternatives to VARA in the UAE?

ADGM and the FSRA

Abu Dhabi Global Market’s Financial Services Regulatory Authority regulates virtual asset activities such as trading facilities, brokers, custodians and asset managers through a Financial Services Permission (FSP). Its process runs from an initial meeting and application through interviews to in-principle approval with conditions, then a commercial licence from the ADGM Registration Authority and finally the FSP.

Central Bank of the UAE

The CBUAE’s Payment Token Services Regulation, issued in 2024, covers the issuance, conversion and custody of payment tokens, including dirham-backed stablecoins, and payment use of tokens. If your model centres on payments rather than trading or investment, this route may be relevant alongside, or instead of, VARA.

What mistakes delay VARA applications?

  • Generic business plans: VARA wants your actual target clients, products, revenue model and risk assessment, not a template.
  • Unclear ownership: missing or inconsistent beneficial ownership details stall the IDQ.
  • Late hiring of Responsible Individuals and compliance staff: the people must be fit, proper and UAE resident.
  • Weak AML and sanctions controls: policies must fit your activity. See our AML and compliance support.
  • Applying for the wrong activity: NFT marketplaces, for example, may need Exchange or Broker-Dealer licences depending on how they operate.
  • Underestimating capital: the percentage-of-overheads test can push capital above the fixed minimum.
  • Slow gap-list responses: each late or partial answer restarts the clock on that issue.

How to apply to VARA: step by step

  1. Confirm which licensed activities your model requires, and whether VARA, ADGM or the CBUAE is the right regulator.
  2. Choose your commercial licensor: DET for mainland or a Dubai free zone other than DIFC.
  3. Prepare the business plan, ownership structure, financial projections and capital plan per activity.
  4. Identify two Responsible Individuals and key compliance roles.
  5. Submit the IDQ through DET or the free zone and pay the initial fee.
  6. Receive the Approval to Incorporate, then incorporate, secure office space and open the capital account.
  7. File the full application with policies, technology and security documentation following VARA’s ATI guidance.
  8. Attend interviews and answer VARA’s gap list quickly and completely.
  9. Pay the remaining licence fee and first year’s supervision fee, receive the VASP licence and meet any conditions before launch.
  10. Diarise the annual renewal, for which VARA sends notice 90 days in advance.

Frequently asked questions

How long does a VARA licence take in Dubai?

VARA does not publish a fixed processing time. Practitioner guides published in 2025 and 2026 describe the Approval to Incorporate stage as taking roughly one to three months and the overall process as roughly three to twelve months. Preparation quality, the activities applied for and the number of feedback rounds drive the outcome.

Can I apply directly to VARA?

No. New applicants submit the Initial Disclosure Questionnaire through their commercial licensor, which is the Department of Economy and Tourism for mainland firms or the relevant Dubai free zone authority. VARA then reviews the application in parallel with that licensor.

Can I start trading once I receive the Approval to Incorporate?

No. VARA states that a firm holding an Approval to Incorporate is not permitted to carry on virtual asset activities. You may incorporate and build your operations, but you can only serve clients once the VASP licence has been issued and any conditions attached to it have been met.

What application fees does VARA charge?

Under Schedule 2 of the Virtual Assets and Related Activities Regulations 2023, the application fee is AED 40,000 for Advisory or Transfer and Settlement and AED 100,000 for the other licensed activities. Annual supervision fees are AED 80,000 and AED 200,000 respectively, per activity. VARA may adjust supervision fees based on risk.

Is there still an MVP licence?

VARA used a Provisional Approval and Minimum Viable Product programme in 2022 and 2023, and early licensees such as BitOasis moved through it. VARA’s current public guidance describes a two-stage route of Approval to Incorporate followed by a VASP licence that may carry operational conditions. Check the current position with VARA before planning.

Does a DIFC company need a VARA licence?

VARA regulates virtual assets across Dubai except within the Dubai International Financial Centre. Firms in DIFC fall under the DIFC’s own financial services regime rather than VARA, so they follow a separate authorisation process.

How often must a VASP licence be renewed?

VARA’s FAQ states that a full virtual asset licence is annual, with a 12-month renewal cycle. VARA issues a renewal notice 90 days in advance and the annual supervision fee is payable at renewal.

Do I need a separate licence for each activity?

Yes. VARA requires a licence for each virtual asset activity you carry on. Adding a further activity attracts a licence extension fee of 50% of the lower application fee, plus a separate annual supervision fee and separate paid-up capital for that activity.
